Assem has represented numerous local and international corporations and investors in relation to setting new business in Egypt, capital market transaction, acquisition of Egyptian legal entities, restructuring. Assem also participated in drafting, reviewing and negotiating, shareholders’ agreements, share purchase agreements, and subscription agreements, as well as various commercial agreements including sale of goods, agency, and distribution agreements. Prior to establishing Shield Advocates, Assem held the positions of Head of department and Legal Director in a top tier law firm.

Assem is a partner of Shield Advocates. Assem has more than 15 years of professional experience and his practice focuses on general corporate, corporate restructuring, labor, capital markets and mergers and acquisitions.
Assem represents numerous local and international corporations and investors in relation to setting new business in Egypt, capital market transaction, acquisition of Egyptian legal entities, restructuring.
Assem also participates in drafting, reviewing, and negotiating, shareholders’ agreements, share purchase agreements, and subscription agreements, as well as various commercial agreements including sale of goods, agency, and distribution agreements.
Besides general corporate and restructuring, Assem has successfully handled litigation related to civil and commercial matters and, in incorporating private and public free zones as well as investment zones. He also has experience in work permits issuance processes and preparation of related documentation and other important matters including employees’ profit sharing.
Assem is highly experienced in opining on several aspects of laws, including civil, labor, insurance and companies’ laws, advising clients on general corporate queries and questionnaires that include inter alia corporate and commercial laws; establishment of legal vehicles, representative offices and all day-to-day legal operational requirements.
Assem has experience in mining activities and related laws and regulations. He has assisted public-private mining companies in overcoming legal obstacles, drafting and negotiations of TV and cinema production, broadcasting and related distributions. He was also involved in legal and regulatory issues of pharmaceutical and media industries, as well as conducting legal due diligence on various types of companies including, investment banks, brokerage companies and holding companies.
Prior to co-founding Shield Advocates, Assem was a legal director and head of corporate affairs at a top tier law firm in Egypt for a period of three years and prior to that he was a senior associate at a top regional law firm in Egypt for a period of four years.

- Acting as the legal advisor for one of the most famous global museums in its Franchise Agreements with an Egyptian party.
- Representing Jaz Hotel Group in the largest Egyptian hotel management agreement with Sharm Dreams company in a deal of a value exceeding 4 Billion Egyptian Pounds.
- Executing the merge between United Distillery Group Co. and Gianaclis Vineyards affiliated to Heineken in their latest group restructuring in Egypt.
- Advising on local regulations in relation to the restructuring of Halliburton Group in Egypt.
- Leading the advisory work on contracts, corporate governance, and labor to many companies in different fields including L’Oreal Cosmetics, Beiersdorf, Al Naeem Holding, Compass Capital, Rameda, Fawry, Smart Villages Group, Total, the Egyptian Marketing Company For Phosphate and Fertilizers, Tarek Nour Advertising Group, Ezz Steel, Orascom, and many of the companies under WPP Group.
- Assisting in the acquisition of Bonyan by Compass Capital and drafting the lease, sale, and other relevant agreements for the Walk of Cairo (WOC) Mall project.
